1. Governance Framework

AIRSLAND Ltd is committed to maintaining sound standards of corporate governance appropriate to an early-stage company. Our governance framework provides the structure for effective decision-making, accountability and oversight of our investment activities. We operate in accordance with the Companies Act 2006 and relevant UK corporate governance principles.

2. Board of Directors

The Board of Directors is responsible for the strategic direction and oversight of the Company. The Board meets regularly to review performance, approve significant transactions and ensure that the Company operates in accordance with its stated objectives and applicable laws and regulations.

3. Ownership Structure

AIRSLAND Ltd is owned by shareholder holding companies representing the founders and management team. This structure provides clear accountability while enabling the Company to pursue its long-term investment objectives. Beneficial ownership information is maintained in accordance with UK company law requirements.

4. Decision-Making

Investment decisions and significant corporate actions are subject to appropriate approval processes:

  • Board approval for material investments and strategic decisions
  • Delegated authorities for day-to-day operations
  • Due diligence requirements for all investment opportunities
  • Regular reporting and monitoring of portfolio performance

5. Risk Management

The Company maintains a risk management framework to identify, assess and manage risks relevant to our business activities. This includes investment risk, operational risk, compliance risk and reputational risk. Risk management is integrated into our decision-making processes at all levels.

6. Conflicts of Interest

We have established policies and procedures to identify, manage and disclose conflicts of interest. Directors and officers are required to disclose any personal interests that may conflict with the interests of the Company. Conflicts are managed through recusal, disclosure or other appropriate measures.

7. Compliance

The Company has regard to applicable laws, regulations and standards relevant to its activities. This includes corporate law, anti-money laundering requirements, data protection requirements and financial services regulations where applicable. As an early-stage company, we are establishing policies, procedures and controls proportionate to our activities to support ongoing compliance.

8. Transparency

We are committed to transparency in our business dealings. We maintain accurate corporate records, file required statutory documents and provide information to stakeholders as appropriate. Our registered information is publicly available through Companies House.

9. Ethical Conduct

All directors, officers and representatives of the Company are expected to conduct themselves with integrity and in accordance with the highest ethical standards. We do not tolerate bribery, corruption or other unethical practices. Our business activities are conducted honestly and in good faith.
